These Terms and Conditions (“Terms”) govern your access to and use of the website smsbearings.com (“Website”) and all services provided by SMS Bearings FZCO, a company registered in the Jebel Ali Free Zone, Dubai, United Arab Emirates (“the Company”, “we”, “our”, or “us”). By accessing or using this Website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use this Website.

1. Definitions

  • “Customer” / “You”: any person or entity accessing this Website or engaging in business with SMS Bearings FZCO.
  • “Products”: bearings, housings, seals, lubrication products, ignition components, belts, pulleys, and all goods offered by the Company.
  • “Services”: technical consultation, product sourcing, order fulfilment, after-sales support, and all services provided by the Company.
  • “Order”: any purchase order, quote acceptance, or request submitted to the Company.

3. Use of Website

3.1 Permitted Use

You may use this Website for lawful purposes only, including browsing our product catalogue, submitting quote requests, accessing our resources, and communicating with our team.

3.2 Prohibited Use

You must not:

  • Use the Website in any way that violates applicable UAE federal or emirate-level laws or regulations.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website without our express written permission.
  • Use automated systems (bots, scrapers, crawlers) to extract data from the Website for commercial purposes without authorization.
  • Transmit any malicious code, viruses, or harmful programs.

4. Products and Services

4.1 Product Descriptions

We make every effort to ensure that product descriptions, specifications, and images on the Website are accurate. However, we do not warrant that product descriptions are error-free, complete, or current. Product specifications, availability, and pricing are subject to change without notice.

4.2 Authorized Distribution

SMS Bearings FZCO is an authorized distributor for several international bearing manufacturers including SKF, Timken, JTEKT/Koyo, NTN, NSK, and others listed on our brands page. All products supplied are genuine and sourced through authorized channels.

5. Quotations and Orders

5.1 Quotations

All quotations provided by the Company are valid for 30 days from the date of issue unless otherwise specified in writing. Quotations are subject to product availability and prevailing market conditions. Prices quoted are exclusive of Value Added Tax (VAT) at 5% unless stated otherwise.

5.2 Order Acceptance

An order is deemed accepted only upon written confirmation from SMS Bearings FZCO. We reserve the right to decline any order at our discretion, including orders where the product is unavailable, pricing errors have occurred, or the customer's credit terms are unsatisfactory.

5.3 Payment Terms

  • Payment terms are as agreed per individual customer accounts.
  • For new customers, payment is required in advance (proforma invoice) unless credit terms are approved.
  • All payments shall be made in UAE Dirhams (AED) or US Dollars (USD) as specified on the invoice.
  • Late payments are subject to an interest charge of 1.5% per month on the outstanding balance.
  • The Company reserves the right to withhold delivery until full payment is received.

6. Delivery and Shipping

  • Delivery dates are estimates and are not guaranteed unless expressly agreed in writing.
  • Title and risk of loss pass to the customer upon delivery to the agreed shipping point (Ex Works Sharjah, unless otherwise agreed).
  • The Company is not liable for delays caused by force majeure, customs clearance, carrier issues, or causes beyond our control.
  • Shipping to GCC countries (UAE, Saudi Arabia, Oman, Bahrain, Kuwait, Qatar), Iraq, and other international destinations is available.
  • Freight charges are the responsibility of the customer unless otherwise agreed.

7. Warranty

7.1 Product Warranty

All products supplied by SMS Bearings FZCO carry the manufacturer's standard warranty. We do not provide any warranty beyond the manufacturer's warranty unless expressly stated in writing.

7.2 Warranty Exclusions

Warranty does not cover:

  • Damage caused by improper installation, misuse, negligence, or failure to follow manufacturer's installation guidelines.
  • Normal wear and tear resulting from standard operating conditions.
  • Products that have been modified, altered, or repaired by unauthorized parties.
  • Damage arising from use of incompatible lubricants, incorrect fits, or shaft/housing tolerance violations.
  • Counterfeit products not sourced through SMS Bearings FZCO.

8. Returns and Refunds

  • Returns are accepted within 14 days of delivery, provided the product is in its original, unopened packaging and is in resalable condition.
  • Return requests must be submitted in writing to info@smsbearings.com with the original invoice number.
  • Custom-ordered, non-standard, or special procurement items are non-returnable.
  • Return shipping costs are the responsibility of the customer unless the return is due to a Company error.
  • Refunds will be processed within 30 business days of receiving and inspecting the returned product.

9. Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, images, product catalogues, technical guides, blog articles, and software, is the property of SMS Bearings FZCO or its licensors and is protected by UAE Federal Law No. 38 of 2021 on Copyrights and Neighbouring Rights and international intellectual property laws.

Brand names and logos of manufacturers (SKF, Timken, JTEKT, NTN, NSK, NACHI, GMB, BRISK, etc.) are trademarks of their respective owners and are used on this Website solely for the purpose of identifying products distributed by SMS Bearings FZCO as an authorized representative.

10. Limitation of Liability

  • To the maximum extent permitted by UAE law, SMS Bearings FZCO shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of this Website or our products and services.
  • Our total aggregate liability for any claim shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.
  • We are not liable for any loss of profit, revenue, data, business, or goodwill.
  • Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UAE law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SMS Bearings FZCO, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms, misuse of our Website, or violation of any applicable law.

12. Force Majeure

SMS Bearings FZCO shall not be held liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, wars, trade sanctions, embargoes, supply chain disruptions, port closures, transportation failures, or labour disputes.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, including UAE Federal Civil Code (Federal Law No. 5 of 1985, as amended) and UAE Commercial Transactions Law (Federal Law No. 18 of 1993, as amended).

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be referred to the competent courts of Dubai, UAE, which shall have exclusive jurisdiction. Where the transaction involves a JAFZA entity, the JAFZA dispute resolution procedures may apply.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Website after any changes constitutes acceptance of the revised Terms.
